How to enter: The Sweepstakes begins on June 26, 2006 and ends on July 31, 2006 No purchase or obligation is necessary to enter or win. The purchase of any Amino Vital® Products will not increase the odds of winning. To enter, submit your name, address, telephone number and e-mail address on the entry form provided at the website: www.amino-vital.com/rocknroll. Alternatively any eligible participant may enter by printing his or her full name, street address (no P.O. Boxes), home telephone number, choice of Event in the case of winning the First Prize (more fully described below) e-mail address (if any) and age on a document and mailing it to the Sweepstakes Administrator: Matrix Advertising, Attn: “Rock n’ Roll Your Way to Endurance This Fall” Sweepstakes, 594 Broadway, Suite 601, New York, NY 10012. All on-line entries must be received by July 31, 2006. All mail-in entries must be post-marked by no later than July 28, 2006 and must be received by July 31, 2006. Entries will not be returned to participants.

Eligibility: No purchase or obligation is necessary in order to enter or win. The Sweepstakes is open to all legal residents of the United States, except for residents in those states which prohibit, tax or otherwise restrict it, who are 21 years of age or older as of June 26, 2006, and who enter the Sweepstakes within the allotted time period. If a second prize is won by a person who has not reached the age of majority in his or her state of residence, the prize will be awarded in the minor’s name to his or her parent or legal guardian who must sign and return all required documents. In the case of a First prize, the prize will be forfeited if it is won by a person who has not reached the age of majority in his or her state of residence and a new drawing will be held whenever reasonable. Employees of Ajinomoto U.S.A., Inc. (“Sponsor”), its licensees, corporate parents, subsidiaries and affiliates, its advertising agencies, and promotional partners, and the respective members of their immediate families are ineligible to participate or win. Only one entry per person is permitted. Any duplicative entries will be disregarded. This Sweepstakes is void where restricted or prohibited by law; and is subject to all applicable federal, state and local laws, rules and regulations. The First Prizes for this Sweepstakes consist of entry into select Half Marathon events, which events require extreme physical exertion. Accordingly, any participant in this Sweepstakes must be in the physical condition to enter a half marathon event and all winners will be required to execute an affidavit of Affidavit of Eligibility and Liability Release (see Prize Notification Section below) stating, among other things, that such winners have are physically fit to enter any half marathon events.

Prizes: The Prizes include: Six (6) First Prizes per Event (as that term is defined below); and Thirty (30) Second Prizes. In addition, every entrant who does not win a First Prize or Second Prize will receive valuable coupons toward purchase of Amino Vital (the “Coupons”) via e-mail.

First Prize: 6 winners per Event The First Prizes consist of one free entry into either the Rock ‘n’ Roll Half Marathon, presented by SunTrust taking place in Virginia Beach on September 3, 2006 (the “Half Marathon”) or the Inaugural Rock ‘n’ Roll Half Marathon – San Jose, taking place in San Jose, California on October 8, 2006 (the “Inaugural Half Marathon”). The Half Marathon and Inaugural Half Marathon may be collectively referred to as the Events. The approximate retail value of the First Prizes are $80.00 (the cost of entry) for the Half Marathon and $65.00 (the cost of entry) for the Inaugural Half Marathon.

Second Prizes: 30 winners One (1) Amino Vital Endurance and One (1) Amino Vital 20 Fl. Oz. water bottle. The approximate retail value of the Second Prizes are $50.00.

Any difference between the stated and actual values of the Prizes will not be awarded.

Selection of Winners: The Prize winners will be selected from all eligible entries in a random drawing to be held on or about August 1, 2006. The drawing will be conducted by Matrix Advertising. (“Administrator”), at an office of Administrator located at 594 Broadway, Suite 601, New York, NY 10012. All decisions of the Administrator relating to the Sweepstakes drawing are final and binding in all respects. Winners will receive a Prize Notification by United States mail and/or telephone and/or e-mail within ten (10) days following the drawing. All Prizes to be awarded will be delivered within thirty (30) days following the drawing, provided that any Prize winner properly responds to the Prize Notification (see Prize Notification section below).

Odds: This Sweepstakes has twelve (12) first prizes and thirty (30) second prizes. All prizes will be awarded provided that enough eligible entries are received. Estimated odds of winning a prize (based upon an estimate of eligible entries to be received) are approximately: i) for the First Prizes 12 in 2,200; and ii) for second place prizes 30 in 2,200. However, the actual odds of winning will depend on the number of eligible entries received.

Entry Period: Eligible entries will be accepted beginning on June 26, 2006, and will continue to be accepted through July 31, 2006 (7/31/06). All mail-in entries must be post-marked by no later than July 28, 2006 and must be received by July 31, 2006.

Restrictions: Prizes are not transferable. Prizes may not be substituted for or redeemed for cash, but the Sweepstakes Sponsor, (Ajinomoto U.S.A., Inc.) may, at its sole discretion, substitute prizes of comparable value or cash. Certain restrictions may apply. Winner will be notified by phone and/or e-mail. Prizes, together with a copy of these Rules, will be sent to the winner with the prior written consent of the winner and, therefore, winner assumes the risk of its loss. The Sponsor is not responsible for the safe arrival of Prizes.

Prize Notification: The potential winners will be notified by United States mail and/or telephone and/or e-mail within ten (10) days following the drawing. The winners will be required to sign an Affidavit of Eligibility and Liability Release, and where legal, a Publicity Release, both of which must be returned within ten (10) days after issuance of the Prize Notification. Any failure to properly respond to the Prize Notification within the allotted time period may result in forfeiture of the Prize. In such instance, the First Prize will be awarded to an alternate winner, who will be selected at random. The Coupons will be delivered via email to each and every eligible participant.

Conditions: By participating in this Sweepstakes, all participants expressly acknowledge that they have read and agree to be bound by these Rules; and that the decisions of Sponsor and Administrator shall be final in all respects. Payment of all federal, state and local taxes are the sole responsibility of the winners. Winners may be required to sign an IRS Form W-9 or the equivalent. Sponsor reserves the right to make changes to the Rules, including the substitution of a Prize or Prizes of equivalent value, which will become effective upon announcement. Failure to comply with the Rules may result in a participant’s disqualification, at the sole discretion of Sponsor and/or Administrator. Sponsor is not responsible for any delays, cancellations or travel postponements. Sponsor is not responsible for typographical or other errors in the printing, the offering or the administration of the Sweepstakes or in the announcement of a Prize. The Prize winner will be independently responsible for complying with all State, Local, and U.S. Laws. By accepting a Prize, any winner, (or if a minor, then his or her parent or legal guardian) agrees to have his or her name, voice, or likeness used in any advertising or broadcasting material relating to this Sweepstakes without additional financial or other compensation, permission or notification, and, where legal, to sign a publicity release confirming such consent prior to acceptance of the Prize. As a condition of entering the Sweepstakes, any participant agrees that he or she will not be permitted to make any claim, or obtain any awards for punitive, incidental or consequential damages or any other damages beyond actual out of pocket expenses (but not including attorneys fees).

Limitation of liability: Participants and winners each expressly release Sponsor, Administrator, and their respective corporate licensees, parents, subsidiaries and affiliated corporations and the officers, shareholders, directors, employees, agents and representatives of each of them harmless against any and all claims or liability arising directly or indirectly from the Prizes, participation in the Events, or participation in the Sweepstakes, and the acceptance, use misuse or possession or any Prize, including any and all travel in connection with any Prize. All participants Contestants and winners explicitly acknowledge that Elite Racing, Sun Trust are not sponsors, and/or administrators of the Sweepstakes, and have not offered or promoted this Sweepstakes nor do either have any responsibility for administering the Sweepstakes. All participants and winners each expressly release Elite Racing and Sun Trust, and their respective corporate licensees, parents, subsidiaries and affiliated corporations and the officers, shareholders, directors, employees, agents and representatives of each of them harmless against any and all claims or liability arising directly or indirectly from the prize or participation in the Sweepstakes. By entering, all contestants acknowledge that this Sweepstakes is governed by the laws of the state of New York, with venue in New York, NY.

Requests must be received by August 1, 2006 (8/1/06). The winners list will be available after August 11, 2006 (8/11/06), and will be sent once the Prize selection has been concluded and the Prize winners have been verified.

By participating in the Amino Vital® “Rock n’ Roll Your Way to Endurance This Fall” Sweepstakes (the “Sweepstakes”) I understand that I am submitting information in connection with my entry form on a voluntary basis, and that I am choosing to voluntarily disclose this information. The information I am submitting includes contact information such as my name, home address, telephone number, and e-mail address. This information is required for the purposes of determining my eligibility for the Sweepstakes along with providing Ajinomoto U.S.A. Inc. (“Sponsor”) a method to notify me in the event that I win a prize. I also understand that I am providing information relating to the source of my knowledge of the Sweepstakes for the purpose of the Sponsor’s internal record keeping. I understand that none of this information will be provided to any unaffiliated third parties for any purpose other than determining my eligibility for the Sweepstakes, and the results thereof unless I provide Sponsor with prior consent or unless such disclosure is required by law. Sweepstakes participants must be U.S. citizens at least 21 years or older. By participating in the Sweepstakes, I hereby agree to Sponsor’s collection and usage of my personal information, as set forth above, and acknowledge that I have read and accepted Sponsor’s Privacy Policy.
